Xito Capital Partners advises buyers from first look through close: pressure-testing the valuation, verifying earnings, structuring the deal and lining up the financing.
Most acquisition mistakes are made before the LOI is signed, on price, on structure, and on numbers nobody verified. We help you get those three right.
A purchase price is only as good as the numbers behind it. Buy-side advisory puts an independent, experienced set of eyes on the three things that decide whether an acquisition works: what you pay, what you verify, and how you structure and fund it.
An independent view of what the target is worth to you, the multiple the market supports, and where your offer should sit before you anchor the negotiation.
A buy-side Quality of Earnings review tests the seller's EBITDA, revenue quality and working capital, so you pay for earnings that will actually repeat.
LOI terms, vendor take-back, earn-outs and lender introductions arranged so the deal closes on terms the business can carry.
Three ways in, from a self-serve toolkit to a partner-led mandate. Start small and go deeper only if the target earns it.
LOI templates for asset and share deals, a 107-request due diligence list and a four-page buyer's guide. The right starting point for a smaller acquisition.
See the Buyer's Pack →A rapid earnings and risk screen on a target before you commit $25,000 or more to a full institutional QoE. You get a plain-English call: go, dig deeper or walk.

Start a Buy-Side Review →Whether you are screening your first target, negotiating an LOI or lining up lenders, we plug in at the stage you are at.
An independent view of what a target is worth and what you should offer, before you anchor the negotiation.
Testing the seller's numbers so you pay for earnings that will actually repeat after you own the business.
Deal terms and funding arranged together, so the structure the seller accepts is one the business can carry.
Agree the criteria, review the teaser or CIM, and form an independent view of value before you make contact or make an offer.
Test the seller's earnings, working capital and debt-like items, then use the findings to set price, the peg and protections in the LOI and purchase agreement.
Finalize the structure, bring in independent lenders, and coordinate diligence with your lawyer and accountant through to closing.
Purchase prices are usually set as a multiple of EBITDA, so every dollar of earnings that does not survive diligence is multiplied by that multiple. The figures below are hypothetical.
Owner add-backs that cannot be documented, one-time revenue booked as recurring, and related-party costs sitting below market rent or salary are the usual sources.
A buy-side QoE finds them before you remove conditions, while you still have leverage to reprice, restructure or walk.
Hypothetical figures for illustration only. Not a client result and not a prediction for any specific business.
A buy-side mandate means we work for you, not the seller. We are not a business-for-sale marketplace and we do not list businesses. You bring the target or the search criteria; we help you evaluate, price, verify, structure and fund it.
Xito takes partner-led buy-side mandates at $2M and up. For smaller acquisitions, start with the Buyer's Acquisition Pack or a Deal Risk Scan. Brokers: see how we work with brokers.
Discuss a Buy-Side MandateIt depends on where you are in the process. Typically: an independent view of valuation and offer price, a buy-side Quality of Earnings review of the seller's numbers, advice on LOI terms and deal structure (including vendor take-back and earn-outs), and introductions to independent lenders. You choose how much of that you need.
We are not a listings marketplace, and we do not sell businesses to buyers. Targets usually come from business brokers, your own network or direct outreach. Once you have a target, or a clear set of search criteria, we help you screen, price, verify, structure and fund it.
Partner-led buy-side mandates generally start at $2M in purchase price and extend to $50M+. For smaller acquisitions, the Buyer's Acquisition Pack and the Pre-QoE Deal Risk Scan are built for exactly that situation.
As an advisor, yes. We do not lend. We structure the capital stack with you (senior debt, vendor take-back, earn-out, equity) and introduce independent lenders. Financing is subject to each lender's approval and terms, and approval is not guaranteed. See acquisition financing and VTB.
Seller-prepared numbers are presented to support a price. A buy-side QoE is commissioned by you to test them: which add-backs are supported, how much revenue repeats, what working capital the business really needs, and what debt-like items sit outside the balance sheet. See buy-side Quality of Earnings.
Yes. We are not a law or accounting firm, so legal documents, tax structuring and the purchase agreement stay with your counsel and CPA. We work alongside them on price, numbers and structure.
Yes. All submissions are covered by our Mutual NDA and handled under strict confidentiality protocols. See our Privacy Policy. Confidentiality matters even more on the buy side, where early disclosure of your interest can change how a seller or their employees behave.
Xito Capital Partners is an advisory firm. We are not a law firm, an accounting firm or a lender, and nothing on this page is legal, tax or accounting advice. Have a qualified lawyer and accountant in your province review any agreement or structure before you rely on it. Quality of Earnings and Deal Risk Scan work is financial diligence analysis, not an audit, review engagement or assurance opinion.
This form goes directly to a managing partner, not a call center. We will follow up within one business day to discuss the target, your timeline and next steps.
